Important: These Terms of Service apply to customers in international markets where Paddle (legally Paddle.com Market Ltd) acts as the Merchant of Record and authorized reseller. Trisafe, trading as ProductBrain, is the product provider. Your purchase is from Paddle, and your service agreement is with Trisafe.
By accessing or using ProductBrain (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute two separate agreements:
Paddle (legally Paddle.com Market Ltd) is the Merchant of Record for all purchases of ProductBrain subscriptions. This means:
ProductBrain remains responsible for providing the ProductBrain service, product support, and all service-related obligations described in these Terms.
ProductBrain is a software-as-a-service (SaaS) product planning tool designed for technical founders and product teams. The Service provides:
ProductBrain offers the following subscription tiers:

Prices are shown in United States Dollars (USD) for reference. Paddle will charge you in your local currency where applicable and will display the final price including all applicable taxes (such as VAT or GST) at checkout.
Prices are subject to change with 30 days' notice to existing subscribers.
All payments are processed by Paddle (legally Paddle.com Market Ltd). By subscribing to a paid plan, you agree to Paddle's terms of service and authorize Paddle to charge your payment method on a recurring basis.
Your payment information is transmitted directly to Paddle and is not stored on ProductBrain's servers. We rely on Paddle's security measures to protect your payment data.
Paddle is responsible for calculating, collecting, and remitting all applicable taxes (including VAT, GST, sales tax, and other local taxes) based on your location. The final price you pay will include all applicable taxes as determined by Paddle.
Subscriptions are billed monthly in advance. Your billing cycle begins on the date you subscribe and renews automatically each month on the same date unless cancelled.
Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate plus applicable taxes.
If a payment fails, Paddle will attempt to charge your payment method according to their retry schedule. If all attempts fail, your subscription may be suspended or downgraded to the Free plan. Contact Paddle support for billing issues.
You may cancel your subscription at any time from your account settings or through Paddle's customer portal. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the period you have already paid for.
All refund requests are handled by Paddle as the Merchant of Record. Refund eligibility and processing are subject to Paddle's refund policy and applicable consumer protection laws in your jurisdiction.
To request a refund, contact Paddle support directly through your Paddle receipt or invoice. ProductBrain cannot process refunds directly.
If you are located in the European Union, United Kingdom, or other jurisdictions with statutory cooling-off periods or consumer protection rights, those rights apply to your purchase from Paddle and may entitle you to a refund within the statutory period.
You retain all rights, title, and interest in and to your data. We claim no intellectual property rights over the content you create, upload, or store using the Service.
Your data is stored in Supabase data centers located in Australia. We implement industry-standard security measures to protect your data, including encryption at rest and in transit.
You can export your data at any time in standard formats (JSON, CSV). We do not restrict your ability to access or export your data while your account is active.
After you cancel your subscription, your data will remain accessible in read-only mode for 30 days. After this grace period, your data may be permanently deleted unless you reactivate your subscription or contact us to arrange for data export.
ProductBrain includes AI-assisted features powered by third-party AI services to provide planning suggestions, draft content, and enhance your productivity.
When you use AI features, your content (goals, needs, approaches, and jobs) may be transmitted to AI services for processing. This data is used solely to generate suggestions and responses for you.
Your data is not used to train third-party AI models or our own models. Our AI service provider's data processing is governed by their terms of service and data processing agreement. We do not share your data with our AI service provider for any purpose other than providing AI suggestions to you.
AI features are optional. You can choose not to use AI-assisted features, and your data will not be processed by our AI service provider if you do not activate these features.
You may request permanent deletion of your account and all associated data at any time by:
Upon account deletion, we will permanently delete your account and all your data within 30 days, except where we are required to retain information for legal or regulatory purposes.
Account deletion does not automatically cancel your subscription with Paddle. You must separately cancel your subscription through Paddle to stop future billing.
You agree not to use the Service to:
The Service, including its software, design, content, and trademarks, is owned by ProductBrain and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Payment information you provide to Paddle is governed by Paddle's privacy policy. We do not have access to your full payment card details.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or emergency repairs.
Product support is provided by ProductBrain via email and in-app messaging. Response times vary by subscription tier. Free plan users receive community support only.
For billing and payment support, contact Paddle directly through your invoice or receipt.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of the Service.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODUCTBRAIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
This limitation of liability applies to ProductBrain's provision of the Service. Payment and billing disputes are governed by your agreement with Paddle.
You agree to indemnify, defend, and hold harmless ProductBrain, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.
Disputes related to the Service itself (not billing or payment) are governed by and construed in accordance with the laws of the State of New South Wales, Australia, without regard to its conflict of law principles.
Disputes related to billing, payments, refunds, or taxes are subject to Paddle's terms and conditions and applicable consumer protection laws in your jurisdiction.
Any legal action or proceeding related to the Service (not billing) will be brought exclusively in the courts located in Sydney, New South Wales, Australia, and you irrevocably consent to the jurisdiction of such courts, subject to mandatory consumer protection laws that may apply in your jurisdiction.
Before filing a claim against ProductBrain, you agree to try to resolve the dispute informally by contacting us at legal@productbrain.com. We will attempt to resolve the dispute informally within 60 days.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and ProductBrain regarding the Service. Your purchase and billing relationship with Paddle is governed by Paddle's separate terms and conditions.
